Covering FCA and FRC publications 12 to 21 September 2026 · rule citations current as of 2026-09-21
The window from 12 to 21 September 2026 was quiet for anyone preparing a UK Main Market listing. The FCA's publication feeds carried no Primary Market Bulletin, no consultation or policy statement touching the UK Listing Rules, the Disclosure Guidance and Transparency Rules, the prospectus regime or the sponsor regime, and the FRC's news feed carried no corporate reporting guidance. What did appear was largely irrelevant to a listing file: consumer-duty and payments work, cryptoasset perimeter guidance, mortgage and product sales data, and enforcement news. Two items are worth a line each because they touch the standard of conduct around disclosure and the integrity of information reaching the market, but neither changes a rule an issuer must follow.
The FCA publications and news feeds, the primary markets knowledge base and the FRC news feed were checked for 12 to 21 September 2026, and no Primary Market Bulletin, listing-rule, DTR, prospectus, sponsor-regime or corporate-reporting item was published in that period.
1. Sponsors reminded that expert reporting should be tailored, and that regulatory announcements are not marketing material
In Primary Market Bulletin 65, published on 28 August 2026, the FCA said it is seeing sponsors take increasingly tailored approaches to expert reporting, and it flagged the use of regulatory announcements as marketing materials. A Primary Market Bulletin is the FCA's newsletter for primary market participants; it sets out its expectations rather than creating new rules. The bulletin itself is the source of the points above; no change to UKLR or the sponsor regime was announced in it, and the window covered by this edition contained no further primary market publication. Read it as supervisory expectation, not as a rule change with a commencement date.
What it means for your FPPP file: If you are working with a sponsor on a listing, ask them to walk you through how the bulletin's points on expert reporting and on announcements used as marketing are reflected in your timetable. Treat any draft regulatory announcement you plan to issue around listing as a disclosure document, not promotional copy, and have the company secretary sign it off on that basis. No change to your FPPP file is required as a result of this item.

2. FCA brings High Court proceedings alleging unauthorised regulated activity in loan note sales
On 21 September 2026 the FCA said it had begun High Court proceedings against Osborne Baldwin Limited, which trades as Hunter Jones and Hunter Jones Group, alleging that the firm carries out regulated activity without authorisation in the sale of loan notes, and it is asking the court to stop that activity. This is an allegation put to the court, not a finding; the FCA's statement is the source. For an issuer, the relevant point is procedural rather than regulatory: the FCA treats the sale of debt instruments to the public as a regulated activity, and where a prospectus or an exemption is required it enforces that perimeter. Nothing in the item changes UKLR, the DTR or the prospectus regime, and no commencement date arises.
What it means for your FPPP file: If any part of your pre-IPO or post-listing funding involves issuing loan notes or similar debt to investors, confirm with your advisers before launch which exemption or approved prospectus route applies, and keep that analysis on file. Do not rely on a counterparty's or arranger's own view of the perimeter. Otherwise no action is needed for your FPPP file; this item does not touch a confirmation criterion.
