Covering FCA and FRC publications 22 to 30 September 2026 · rule citations current as of 2026-09-30
The window from 22 to 30 September 2026 was dominated by one thing that matters to a listing file: the FCA's Primary Market Bulletin 66, published on 30 September, which carried finalised technical notes on prospectus disclosure and working capital statements together with a consultation on the Knowledge Base. The same day the FCA published Policy Statement PS26/19, replacing the climate-reporting rules for listed issuers with UK Sustainability Reporting Standards on a comply-or-explain basis from 1 January 2027. Everything else the feeds carried in this window — crypto authorisation gateways, consumer vulnerability reviews, money mule data, mortgage statistics, retirement income analysis, insolvencies of small advisory firms and an investigation opening — is out of scope for a Main Market applicant and has been left out.
Feeds read: the FCA publications and news RSS feeds, the FCA primary markets Knowledge Base index and the FRC news index. The FRC feed showed no dated item inside the window; no primary market enforcement finding and no sponsor-regime change was published between 22 and 30 September 2026.
1. FCA finalises technical notes on prospectus disclosure and working capital statements in Primary Market Bulletin 66
On 30 September 2026 the FCA published Primary Market Bulletin 66 (PMB 66), its newsletter for primary market participants. The bulletin finalises Technical Note 619.3, on disclosure requirements under the Prospectus Rules for admission to trading on a regulated market, and amends existing technical notes in the FCA's Knowledge Base covering working capital statements and risk factors. A technical note is the FCA's own explanation of how it reads a rule in practice — it does not change the rule, but it is the yardstick its reviewers apply. The FCA also published FG26/8 alongside the bulletin, confirming the Knowledge Base has been updated with the guidance set out in PMB 66, and GC26/6, a consultation on further Knowledge Base changes following the consultation opened in PMB 63 on 27 April 2026.
What it means for your FPPP file: Before your prospectus or admission document goes into its final drafting round, check the working capital statement and risk factor sections against the amended technical notes rather than the versions your advisers used earlier in the year. Ask your sponsor to confirm which technical notes were touched and to work from the updated Knowledge Base text. If you intend to respond to the further consultation in GC26/6, diarise the deadline.

2. FCA replaces listed issuers' climate reporting rules with UK SRS on a comply-or-explain basis from 1 January 2027
On 30 September 2026 the FCA published Policy Statement PS26/19, which finalises rules requiring listed companies to report against UK Sustainability Reporting Standards (UK SRS) on a comply-or-explain basis. UK SRS are the UK's own sustainability reporting standards, aligned with international standards. The new requirements replace the existing climate-reporting rules for listed issuers and come into force on 1 January 2027, so an issuer with a financial year beginning on or after that date is in the first tranche. Comply-or-explain means an issuer either reports against the standards or explains in its annual report why it has not. The FCA says the policy statement follows consultation paper CP26/5.
What it means for your FPPP file: Diarise the 1 January 2027 commencement now and work out whether your first in-scope reporting year starts on or after that date. Decide early whether you will comply or explain, and record that decision with your audit committee. If you are preparing a prospectus, consider what the admission document should say about your sustainability reporting baseline, since the first annual report after listing is where the requirement bites.

No provision cited in this pack — UKLR 24.3.2R(5) or any of the criterion rules referenced above — was amended in this window; PS26/19 sets a commencement date of 1 January 2027 for new sustainability rules rather than changing a cited provision now. The check-through date advances regardless, because this edition checked each cited provision against the 30 September 2026 position.
