The takeaway

The FCA's September package settles how prospectus disclosure and sustainability reporting will be read — the drafting work it implies falls on you now, not on the rule date.

  • Check your working capital statement and risk factors against the amended technical notes.
  • If you list in 2027, decide your comply-or-explain position on UK SRS early.

Covering FCA and FRC publications 1 to 2 October 2026 · rule citations current as of 2026-10-02

This edition covers 1 to 2 October 2026. The window itself was quiet — the FCA's Primary Market Bulletin 66 package landed on 30 September, just outside the window, and is covered here because its content governs what CFOs must now write in working capital statements and risk factor disclosures. Nothing in scope was published on 1 or 2 October.

FCA publications and news feeds checked for 1–2 October 2026; no Primary Market Bulletin, UKLR or DTR change fell inside the window. Items on crypto, payments, motor finance and the FCA Board were out of scope and discarded.

1. FCA finalises technical notes on working capital statements and risk factors in Primary Market Bulletin 66

On 30 September 2026 the FCA published Primary Market Bulletin 66 and the related policy statement FG26/8, amending existing technical notes in its Knowledge Base, including those on working capital statements and risk factors. The FCA also finalised Technical Notes 619.3 on disclosure requirements under the Prospectus Rules for admission to trading on a regulated market. Technical notes are the FCA's own guidance to issuers and sponsors on how it reads the disclosure rules; they are not rules themselves, but they tell you how a prospectus reviewer will assess your drafting. The amended notes took effect with publication on 30 September 2026.

What it means for your FPPP file: Re-read your working capital statement and risk factor drafting against the amended technical notes before your next submission, and ask your sponsor to confirm which version of the notes it is reviewing against.

2. FCA consults on Knowledge Base changes to reflect new sustainability disclosure regime

Also on 30 September 2026 the FCA opened consultation GC26/6 on changes to its Knowledge Base, following Policy Statement PS26/19. The FCA said PS26/19 sets out the new regime for sustainability disclosures for listed issuers, with those rules coming into force on 1 January 2027. The FCA also said the new requirements replace the existing climate-reporting rules for listed issuers and are aligned with international standards, applied on a comply-or-explain basis. The consultation is open now; the underlying rules take effect on 1 January 2027.

What it means for your FPPP file: If your listing timetable runs into 2027, map your current climate reporting against the incoming UK Sustainability Reporting Standards now, and decide what you will explain if you cannot comply. Check whether the consultation changes anything you already rely on.

No UKLR or DTR provision cited in this pack moved during 1–2 October 2026: the changes described were published on 30 September, outside the window, and the sustainability rules take effect on 1 January 2027. The check-through date advances regardless, because this edition has verified the position of each cited provision as at 2 October 2026.
